If you do not agree with the TERMS OF USE, please do not use Pure Virtual Clinic. MD Likar may make changes to the TERMS OF USE effective from the time they are posted on our website. We ask that you periodically review the TERMS OF USE in case of such changes.

1. USING THE ENVIRONMENT

Your access to the Environment and use of the information contained therein is governed by these TERMS OF USE and local regulations. You agree to always act within the law when you visit the website and agree not to take any action that damages, interferes with, disrupts, interrupts or disables its operation or prevents other visitors from using our website.

2. CONTENT

PURE Virtual Clinic (the "Environment") by MD Likar Corporation ("MD Likar") is an information environment and DOES NOT provide any medical services and is NOT their provider. All medical and mental health professionals are providers independent of MD Likar and use our Environment as a Service to communicate with you. Any information or advice received from an independent provider comes from the provider separately and independently and not from MD Likar as such. Your interactions with providers through the Environment are not intended to completely replace your normal interactions with physicians. Neither MD LIKAR, nor its management, nor any of its subsidiaries, affiliates or representatives, or any third party that may advertise the Environment or provide links to the Service, shall be liable for any professional advice received from a healthcare professional through the Environment or for any other information received on the Environment. MD Likar via its Environment does not promote any specific doctors, providers, specialists, specific tests, medications, products or procedures recommended by providers who may use the Environment to communicate with you. You understand that your reliance on any health care providers or the information provided by providers through the Environment is solely at your own risk and that you are solely responsible for all risks associated therewith.

MD Likar does not participate in the provision of medical care or services, nor does it influence or supervise the work of providers. MD Likar has neither the authority nor the intention to issue directives, monitor the availability or administration of medications, manage provider schedules, or otherwise interfere with clinical decision-making. MD Likar solely provides an informational environment which, at the discretion of both parties, may be used to facilitate communication between individual specialists, clinics, and users seeking such services.

All information posted within the Environment is of a reference nature, namely: MD Likar cooperates with independent naturopathic medical and holistic mental health providers who have the appropriate licenses to carry out professional activities. Through the PURE Virtual Clinic Environment, Providers make available professional information relevant to their licensure, scope of practice, and areas of focus. The Environment supports the coordination of engagement between Users and independently licensed Providers within structured programs facilitated by PURE Virtual Clinic.

Provider availability, scheduling, and delivery of services are determined exclusively by the Provider and managed through secure third-party clinical systems. MD Likar Corporation does not control Provider schedules, appointment execution, or clinical operations, and does not supervise or monitor the performance of services.

All services accessible through the PURE Virtual Clinic Environment are delivered exclusively by independently licensed Providers under their own professional responsibility, within structured, segment-based programs. MD Likar Corporation facilitates coordination and access to the Environment only and does not itself offer, provide, supervise, or participate in medical, mental health, or therapeutic services, clinical decision-making, or outcomes.

MD Likar Corporation makes no representations, warranties, or guarantees regarding the medical, psychotherapeutic, or mental health services provided by any Provider. When you submit an inquiry through the Environment, you may be introduced to an independently licensed Provider based on the information you provide and your state of residence. All Providers operate independently of MD Likar, and you remain solely responsible for any decision to engage in services offered or recommended by a Provider.

Your use of the PURE Virtual Clinic Environment is at your own risk. MD Likar Corporation may add, modify, or remove content or functionality within the Environment at any time, in its sole discretion. While reasonable efforts are made to present current and accurate information, MD Likar Corporation makes no guarantees or representations regarding the accuracy, completeness, reliability, or suitability of any content.

To the fullest extent permitted by applicable law, MD Likar Corporation disclaims all warranties, whether express or implied. Neither MD Likar Corporation, nor its officers, directors, affiliates, employees, agents, or representatives shall be liable for any loss, damage, or expense arising out of or related to your use of, or inability to use, the Environment, reliance on its content, or any errors or omissions therein, including damage caused by viruses or other harmful components.

3. CONFIDENTIALITY

Users of the Environment independently choose the services published on www.purevirtualclinic.com that they wish to use. MD Likar stores only the information entered into the system either by you directly or by the licensed professionals you engage for medical or mental health services through the PURE Virtual Clinic Website. MD Likar respects the privacy of all users of this Environment. Our collection and use of personal data in connection with services offered within the Environment are governed by the Privacy Policy.

4. THIRD PARTY WEBSITES AND LINKS

This Environment may contain links to third-party websites that are not controlled by MD Likar. These links are provided solely for your convenience. Similarly, access to this Environment may occur through third-party links over which MD Likar has no control. MD Likar makes no warranties and assumes no responsibility for the accuracy, reliability, currency, or completeness of any information found on such external websites. MD Likar disclaims all liability for any loss, damage, or expense arising from the use of or reliance on third-party content.

The presence of a link to a third-party site does not constitute an endorsement or recommendation by MD Likar.

5.USE OF THIRD-PARTY TECHNOLOGY FOR SERVICE DELIVERY

MD Likar utilizes a secure, HIPAA-compliant third-party platform to facilitate booking, encrypted video sessions, and limited client data processing for the services presented on the PURE Virtual Clinic Environment". While MD Likar configures and maintains access to this system as part of the PURE Virtual Clinic experience, all clinical interactions, medical records, and health-related information are maintained and controlled exclusively by the independent healthcare providers who use the platform to deliver services. MD Likar does not access or store Protected Health Information (PHI) beyond the minimum necessary to ensure technical functionality. All providers are solely responsible for the security and lawful handling of PHI within their practice, including compliance with applicable privacy regulations.

6. CLINICAL RECORDS AND PHI

Clinical documentation, treatment records, and session notes are created and managed solely by Providers within secure third-party systems integrated into the PURE Virtual Clinic Environment. While these systems are administered under MD Likar Corporation’s enterprise account for operational purposes, MD Likar does not access, review, or store any clinical notes or Protected Health Information (PHI), unless specifically required for compliance, legal obligations, or security review.

All responsibility for clinical content, privacy compliance, recordkeeping, and HIPAA obligations rests with the independent Provider, who functions as the Covered Entity under applicable healthcare laws. MD Likar acts solely as a Business Associate, facilitating access to infrastructure, onboarding, and system coordination, without involvement in medical decision-making, documentation review, or therapeutic service

7. INTELLECTUAL PROPERTY RIGHTS

MD Likar holds all intellectual property rights associated with PURE Virtual Clinic Environment, including but not limited to trademarks, design rights, database rights, proprietary know-how, and confidential information—whether registered or unregistered—pertaining to the PURE Virtual Clinic Environment and its content.

No part of this Environment, including its text, images, documents, or other materials, may be copied, displayed, downloaded, distributed, modified, reproduced, republished, transmitted by electronic or physical means, or used to create derivative works without the express written permission of MD Likar.

The names and logos of MD Likar and PURE Virtual Clinic are protected by trademark and may not be used in any form without prior written authorization. Any misuse of the intellectual property, including unauthorized use of trademarks or content found on Pure Virtual Clinic Environment, constitutes a violation of intellectual property, trademark, and other applicable laws.

8. MEANS OF COMMUNICATION

When you use any of the services offered on this Environment or send emails, text messages, or other forms of communication from your computer or mobile device, you are engaging with us electronically. You consent to receive communications from MD Likar electronically. You agree that: (a) all agreements, authorizations, and consents may be executed electronically; and
(b) all notices, disclosures, and other communications provided to you electronically meet any legal requirement that such communications be in writing.

9. EMERGENCY SITUATIONS

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY OR REQUIRE URGENT MEDICAL ASSISTANCE, CALL 911 IMMEDIATELY.

The PURE Virtual Clinic Environment is not intended for use in emergency or crisis situations. MD Likar does not provide emergency medical care, crisis intervention, or time-sensitive clinical services. Communications through the Environment, including appointment scheduling and provider interactions, are not monitored for emergency purposes and should not be relied upon in urgent situations.

10. DISCLAIMER OF MEDICAL AND MENTAL HEALTH ADVICE

The content on this Environment, including but not limited to text, visuals, audio, video, illustrations, and graphics, is provided FOR GENERAL INFORMATIONAL PURPOSES ONLY and DOES NOT CONSTITUTE MEDICAL OR MENTAL HEALTH ADVICE FROM MD LIKAR OR PURE VIRTUAL CLINIC.

You should always consult LICENSED MEDICAL OR MENTAL HEALTH PROFESSIONALS regarding any specific questions or concerns related to your health or treatment needs.

While PURE Virtual Clinic Environment facilitates secure connections between users and licensed professionals, MD LIKAR CORPORATION DOES NOT PROVIDE MEDICAL OR MENTAL HEALTH SERVICES and DOES NOT FORM A CLINICAL OR THERAPEUTIC RELATIONSHIP WITH USERS.

Any DOCTOR–PATIENT OR THERAPEUTIC RELATIONSHIP is formed exclusively between the user and the independent provider, under the provider’s professional license and in accordance with applicable laws.

All naturopathic DOCTORS and holistic PSYCHOTHERAPISTS, who use this Environment do so as INDEPENDENT LICENSED PROVIDERS and are NOT EMPLOYEES, AGENTS, OR REPRESENTATIVES OF PURE Virtual Clinic or MD LIKAR CORPORATION.

MD LIKAR and its management SHALL NOT BE LIABLE for any clinical outcomes, medical decisions, or health services provided through these independent professional relationships.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, MD Likar Corporation, including its directors, officers, affiliates, employees, and agents, shall not be liable whatsoever for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, goodwill, use, data, or other intangible losses, resulting from or relating to your use of the PURE Virtual Clinic Environment or any services accessed through it.

MD Likar Corporation makes no guarantees regarding the qualifications, licensing, or conduct of any Providers listed on or accessible through the Environment. You agree that your sole and exclusive remedy for dissatisfaction with the Environment is to discontinue use.

In all cases, MD Likar Corporation shall bear no liability whatsoever for any decisions or actions taken based on the use of the PURE Virtual Clinic, or for any relationship formed between you and any Provider.

These limits remain enforceable regardless of legal theory or whether any remedy fails in its essential function. You expressly waive any and all claims arising from or related to the services or conduct of any Provider accessed via the Environment, whether known or unknown, suspected or unsuspected.

12. LEGISLATION

This Environment and its content comply with applicable standards and regulations. Different U.S. states may have laws, regulatory requirements, and medical practices that differ from those in the state of Delaware. The Terms of Use and your use of the Environment shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the state of the State of Illinois, unless otherwise required by applicable law.

13. DISPUTE RESOLUTION

To the fullest extent permitted by applicable law, you and MD Likar Corporation expressly agree that any dispute, claim, or controversy arising out of or relating to your use of the PURE Virtual Clinic Environment or these Terms shall be resolved exclusively through final and binding mediation.

You expressly waive any right to commence or participate in court proceedings, including the right to a trial before a judge or jury, and any right to bring or participate in any class, collective, representative, or mass action. All claims must be brought on an individual basis only.

Mediation shall be conducted by a neutral, independent mediation provider and shall take place in the State of Illinois, unless otherwise required by applicable law. These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

14. MISCELLANEOUS

In the event that any clause of the TERMS OF USE is found to be illegal, invalid or unenforceable, it shall be null and void without affecting the validity or enforceability of the remaining provisions.

Force Majeure: MD Likar Corporation shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, power outages, technical failures, internet disruptions, strikes, civil unrest, or governmental actions.

Assignment: You may not assign or transfer your rights or obligations under these TERMS OF USE without prior written consent from MD Likar Corporation. MD Likar Corporation may assign these Terms at its sole discretion without restriction.
