Welcome to Pure Virtual Clinic, by MD Likar Corporation. By visiting or using our Environment, you confirm that you have read, understood and agreed to these TERMS OF USE. If you do not agree with the TERMS OF USE, please do not use Pure Virtual Clinic. MD Likar may make changes to the TERMS OF USE effective from the time they are posted on our website. We ask that you periodically review the TERMS OF USE in case of such changes.

1. USING THE ENVIRONMENT

Your access to and use of the PURE Virtual Clinic Environment are governed by these Terms of Use and all applicable laws and regulations. By using the Environment, you agree to comply with all applicable legal requirements and to refrain from any conduct that may damage, interfere with, disrupt, impair, or otherwise adversely affect the operation, security, or accessibility of the Environment, or that may interfere with other users’ lawful use of it.

2. CONTENT

PURE Virtual Clinic (the "Environment") by MD Likar Corporation ("MD Likar") is an information environment and DOES NOT provide any medical services and is NOT their provider. All medical and mental health professionals are providers independent of MD Likar and use our Environment as a Service to communicate with you. Any information or advice received from an independent provider comes from the provider separately and independently and not from MD Likar as such. Your interactions with providers through the Environment are not intended to completely replace your normal interactions with physicians. Neither MD LIKAR, nor its management, nor any of its subsidiaries, affiliates or representatives, or any third party that may advertise the Environment or provide links to the Service, shall be liable for any professional advice received from a healthcare professional through the Environment or for any other information received on the Environment. MD Likar via its Environment does not promote any specific doctors, providers, specialists, specific tests, medications, products or procedures recommended by providers who may use the Environment to communicate with you. You understand that your reliance on any health care providers or the information provided by providers through the Environment is solely at your own risk and that you are solely responsible for all risks associated therewith.

MD Likar does not participate in the provision of medical care or services, nor does it influence or supervise the work of providers. MD Likar has neither the authority nor the intention to issue directives, monitor the availability or administration of medications, manage provider schedules, or otherwise interfere with clinical decision-making. MD Likar solely provides an informational environment which, at the discretion of both parties, may be used to facilitate communication between independently licensed naturopathic doctors and holistic mental health providers and users seeking such services.

All information posted within the Environment is of a reference nature, namely: MD Likar cooperates with independent naturopathic medical and holistic mental health providers who have the appropriate licenses to carry out professional activities. Through the PURE Virtual Clinic Environment, Providers make available professional information relevant to their licensure, scope of practice, and areas of focus. The Environment supports the coordination of engagement between Users and independently licensed Providers within structured programs facilitated by PURE Virtual Clinic.

Provider availability, scheduling, and delivery of services are determined exclusively by the Provider and managed through secure third-party clinical systems. MD Likar Corporation does not control Provider schedules, appointment execution, or clinical operations, and does not supervise or monitor the performance of services.

All services accessible through the PURE Virtual Clinic Environment are delivered exclusively by independently licensed Providers under their own professional responsibility, within structured, segment-based programs. MD Likar Corporation facilitates coordination and access to the Environment only and does not itself offer, provide, supervise, or participate in medical, mental health, or therapeutic services, clinical decision-making, or outcomes.

MD Likar Corporation makes no representations, warranties, or guarantees regarding the medical, psychotherapeutic, or mental health services provided by any Provider. When you submit an inquiry through the Environment, you may be introduced to an independently licensed Provider based on the information you provide and your state of residence. All Providers operate independently of MD Likar, and you remain solely responsible for any decision to engage in services offered or recommended by a Provider.

Your use of the PURE Virtual Clinic Environment is at your own risk. MD Likar Corporation may add, modify, or remove content or functionality within the Environment at any time, in its sole discretion. While reasonable efforts are made to present current and accurate information, MD Likar Corporation makes no guarantees or representations regarding the accuracy, completeness, reliability, or suitability of any content.

To the fullest extent permitted by applicable law, MD Likar Corporation disclaims all warranties, whether express or implied. Neither MD Likar Corporation, nor its officers, directors, affiliates, employees, agents, or representatives shall be liable for any loss, damage, or expense arising out of or related to your use of, or inability to use, the Environment, reliance on its content, or any errors or omissions therein, including damage caused by viruses or other harmful components.

3. CONFIDENTIALITY

Users of the PURE Virtual Clinic Environment independently determine whether to submit inquiries or engage with services made available through the Environment. MD Likar Corporation retains only limited non-clinical information voluntarily submitted by Users or Providers for coordination, administrative, or technical purposes, and does not collect or retain clinical records or Protected Health Information (PHI).

The collection, use, storage, and protection of any personal data processed by MD Likar Corporation are governed exclusively by the Privacy Policy, which is incorporated into these Terms of Use by reference and forms an integral part hereof.

4. THIRD PARTY WEBSITES AND LINKS

The Environment may contain links to third-party websites or services that are not owned, operated, or controlled by MD Likar Corporation. Such links are provided solely for convenience. MD Likar does not control and makes no representations or warranties regarding the accuracy, reliability, availability, legality, or completeness of any third-party content.

MD Likar disclaims all liability for any loss, damage, or expense arising from your access to or use of third-party websites or services. The inclusion of any third-party link does not constitute an endorsement, recommendation, or affiliation.

5.USE OF THIRD-PARTY TECHNOLOGY FOR SERVICE DELIVERY

MD Likar Corporation utilizes secure, HIPAA-compliant third-party technology to facilitate scheduling, encrypted communications, and limited administrative coordination related to services accessed through the PURE Virtual Clinic Environment. While such systems may be administered under MD Likar Corporation’s enterprise account for operational purposes, all clinical interactions, medical records, treatment notes, and health-related information are created, maintained, and controlled exclusively by the independent Providers who use these systems to deliver services. MD Likar does not access, review, or manage clinical records or treatment content and does not participate in clinical decision-making. Providers remain solely responsible for compliance with all applicable privacy, data protection, and healthcare regulations, including HIPAA, within their own professional practice. MD Likar’s role is limited to technical configuration, access facilitation, and non-clinical system coordination as described in the Privacy Policy.

6. CLINICAL RECORDS AND PHI

Clinical documentation, treatment records, session notes, and all other Protected Health Information (“PHI”) are created, maintained, accessed, and controlled exclusively by independent Providers in connection with their direct clinical relationships with Users, within secure third-party systems selected and used by such Providers.

MD Likar Corporation does not act as a custodian or repository of medical records and does not access, review, manage, store, transmit, or use Provider-generated clinical records or PHI in the ordinary course of its operations.

The PURE Virtual Clinic Environment provides non-clinical technical infrastructure and administrative coordination only. MD Likar Corporation does not participate in diagnosis, treatment, clinical documentation, medical decision-making, or therapeutic services.

To the extent MD Likar Corporation is deemed, by operation of law only, to qualify as a Business Associate under HIPAA due solely to facilitation of non-clinical technical infrastructure or system coordination, such role is strictly limited to what is legally required and does not include access to PHI, control over clinical records, or involvement in clinical care.

All responsibility for clinical content, recordkeeping, privacy compliance, and compliance with applicable healthcare laws rests solely with the independent Provider, who functions as the Covered Entity with respect to such records and information.

7. INTELLECTUAL PROPERTY RIGHTS

MD Likar Corporation holds all intellectual property rights associated with the PURE Virtual Clinic Environment, including but not limited to trademarks, service marks, design rights, database rights, proprietary know-how, confidential information, and all other intellectual property—whether registered or unregistered—relating to the Environment and its content.

No part of the PURE Virtual Clinic Environment, including text, images, documents, graphics, audiovisual materials, or other content, may be copied, reproduced, displayed, downloaded, distributed, modified, republished, transmitted, or used to create derivative works without the prior written consent of MD Likar Corporation.

The names, trademarks, logos, and branding of MD Likar Corporation and PURE Virtual Clinic are protected by applicable intellectual property laws and may not be used in any manner without express written authorization. Any unauthorized use constitutes a violation of intellectual property and other applicable laws.

8. MEANS OF COMMUNICATION

When you use any of the services offered on this Environment or send emails, text messages, or other forms of communication from your computer or mobile device, you are engaging with us electronically. You consent to receive communications from MD Likar electronically. You agree that: (a) all agreements, authorizations, and consents may be executed electronically; and
(b) all notices, disclosures, and other communications provided to you electronically meet any legal requirement that such communications be in writing.

9. EMERGENCY SITUATIONS

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, MENTAL HEALTH CRISIS, OR REQUIRE URGENT OR IMMEDIATE ASSISTANCE, CALL 911 (OR YOUR LOCAL EMERGENCY NUMBER) IMMEDIATELY.

The PURE Virtual Clinic Environment is not designed or intended for use in emergency, crisis, or time-sensitive situations. MD Likar Corporation does not provide emergency medical care, crisis intervention, or urgent clinical services.

MD Likar Corporation has no obligation to monitor communications, submissions, scheduling activity, or interactions within the Environment for emergency or crisis conditions, and disclaims any duty to respond to or act upon such information. The Environment must not be relied upon for emergency assistance or urgent care under any circumstances.

10. DISCLAIMER: NO MEDICAL AND NO MENTAL HEALTH ADVICE

The content made available through the PURE Virtual Clinic Environment, including but not limited to text, visuals, audio, video, illustrations, and graphics, is provided FOR GENERAL INFORMATIONAL PURPOSES ONLY and DOES NOT CONSTITUTE MEDICAL OR MENTAL HEALTH ADVICE FROM MD LIKAR CORPORATION OR PURE VIRTUAL CLINIC.

MD Likar Corporation DOES NOT PROVIDE MEDICAL OR MENTAL HEALTH SERVICES and DOES NOT ESTABLISH A DOCTOR–PATIENT, THERAPIST–CLIENT, OR OTHER CLINICAL OR THERAPEUTIC RELATIONSHIP with Users.

Any medical, mental health, or therapeutic services accessed through the Environment are provided exclusively by independent, licensed Providers acting under their own professional licenses and legal obligations. Any provider–patient or therapeutic relationship is formed solely between the User and the Provider.

All Providers who use the Environment do so as INDEPENDENT LICENSED PROFESSIONALS and are NOT EMPLOYEES, AGENTS, PARTNERS, OR REPRESENTATIVES of MD Likar Corporation or PURE Virtual Clinic.

NO Control; NO Duty; NO Reliance.
You acknowledge and agree that MD Likar Corporation has no control over, and assumes no duty to monitor, evaluate, supervise, or take any action with respect to:
(a) which Users or Providers access or use the Environment;
(b) any content, communications, or information made available by Users or Providers;
(c) the accuracy, completeness, legality, or suitability of any such content or information;
(d) how any content or information may be interpreted, applied, or relied upon; or
(e) any actions, decisions, or outcomes that may result from exposure to or use of the Environment.

You expressly agree that MD Likar Corporation SHALL NOT BE LIABLE for any effects, outcomes, decisions, or damages arising from your use of, reliance upon, or inability to use the Environment or any content or services accessed through it.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, MD Likar Corporation, including its directors, officers, affiliates, employees, and agents, shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of the PURE Virtual Clinic Environment or any services accessed through it, regardless of the legal theory asserted.

To the extent any liability is not lawfully excluded, the total cumulative liability of MD Likar Corporation for any and all claims arising out of or relating to the Environment or these Terms shall not exceed the greater of:
(a) one hundred U.S. dollars (USD $100), or
(b) the total amount paid by you to MD Likar Corporation, if any, in the twelve (12) months preceding the event giving rise to the claim.

MD Likar Corporation makes no representations or warranties regarding the qualifications, licensing, conduct, or services of any Provider. Any interactions, services, or relationships between you and a Provider are solely between you and the Provider.

You expressly agree that your sole and exclusive remedy for dissatisfaction with the Environment is to discontinue use.

These limitations apply even if any remedy fails of its essential purpose and apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

To the fullest extent permitted by law, you expressly release MD Likar Corporation from any and all claims, demands, damages, or liabilities arising from or relating to the acts, omissions, services, or conduct of any Provider accessed through the Environment, whether known or unknown, suspected or unsuspected.

12. DISPUTES BETWEEN USERS AND PROVIDERS; RELEASE

MD Likar Corporation does not mediate, adjudicate, supervise, or otherwise become involved in any disputes, claims, or controversies arising between Users and Providers, or between Users, including but not limited to disputes relating to medical care, clinical outcomes, professional services, billing, communications, or conduct.

You acknowledge and agree that any such dispute exists exclusively between you and the applicable Provider, and that MD Likar Corporation has no obligation, responsibility, or duty to intervene, resolve, or participate in such matters.

To the fullest extent permitted by applicable law, you hereby release, discharge, and hold harmless MD Likar Corporation, and its directors, officers, affiliates, employees, agents, successors, and assigns, from any and all claims, demands, damages, losses, liabilities, costs, or expenses of any kind or nature, whether known or unknown, suspected or unsuspected, arising out of or relating to any dispute between you and any Provider, or to any services, interactions, or relationships formed through or in connection with the PURE Virtual Clinic Environment.

This release applies regardless of the legal theory asserted and survives termination or cessation of your use of the Environment.

13. INDEMNIFICATION

Upon request by MD Likar Corporation, you agree to defend, indemnify, and hold harmless MD Likar Corporation, and its directors, officers, affiliates, employees, agents, successors, and assigns, from and against any and all liabilities, claims, damages (actual or consequential), demands, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

(a) your access to or use of the PURE Virtual Clinic Environment;
(b) your violation of these Terms of Use or any applicable law or regulation;
(c) your interactions, communications, or disputes with any Provider or other User;
(d) any services received from, or actions taken by, any Provider;
(e) any information, content, or materials submitted, transmitted, or made available by you through the Environment; or
(f) any actions taken by any person using your account, credentials, or access permissions.

This indemnification obligation does not apply to the extent that such liabilities, claims, or expenses arise directly from the gross negligence or willful misconduct of MD Likar Corporation. This obligation shall survive termination or cessation of your use of the Environment.

14. DISPUTE RESOLUTION; MANDATORY PRE-MEDIATION INFORMAL RESOLUTION AND MEDIATION

PLEASE READ THIS SECTION CAREFULLY.
This Section requires the use of informal dispute resolution and mediation on an individual basis before any court proceeding may be initiated.

14.1. Mandatory Pre-Mediation Informal Resolution

You and MD Likar Corporation agree to engage cooperatively and in good faith to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the PURE Virtual Clinic Environment (a “Dispute”) before initiating mediation or court proceedings.

To initiate this process, the party asserting a Dispute must send a written notice (“Pre-Mediation Notice”) to the other party that includes:

(a) a detailed description of the nature and basis of the Dispute;
(b) the specific relief sought, including a good-faith calculation of any claimed damages;
(c) sufficient information to identify the applicable account, transaction, or use of the Environment; and
(d) the claimant’s full name, email address, and telephone number.

Any Pre-Mediation Notice must be personally signed by the claimant (and by counsel, if represented).

Notices to you will be sent to the most recent contact information you have provided.

14.2. Informal Resolution Period; Tolling

For a period of sixty (60) days following receipt of a completed Pre-Mediation Notice, the parties shall use reasonable efforts to resolve the Dispute informally.

All applicable statutes of limitations and limitation periods shall be tolled during this informal resolution period.

Compliance with this informal dispute resolution process is a mandatory condition precedent to initiating mediation or any court proceeding.

14.3. Mandatory Mediation

If the Dispute is not resolved through informal resolution, the parties agree to submit the Dispute to confidential, good-faith mediation.

The mediation shall:

be conducted by a neutral retired judge located in the State of Illinois, mutually agreed upon by the parties; and
take place remotely, or in the State of Illinois, at the mediator’s discretion.

If the parties are unable to agree on a mediator, the mediator shall be appointed from a panel of retired judges located in the State of Illinois.

14.4. Limited Judicial Proceeding (Small-Claims Only)

If a Dispute is not resolved through mediation, either party may elect to bring an individual claim exclusively in a small-claims court located in the State of Illinois, provided that:

the claim qualifies for small-claims jurisdiction; and
the matter remains solely on an individual, non-class, non-representative basis.

No Dispute may be brought in any other court or forum except as required by applicable law.

14.5. Individual Basis; Waiver of Jury Trial and Collective Actions

To the fullest extent permitted by applicable law:

all Disputes shall be resolved on an individual basis only;
the parties waive any right to a trial by jury; and
the parties waive any right to bring or participate in any class, collective, consolidated, representative, or mass action.

14.6. Confidentiality

All negotiations and mediation proceedings shall be confidential and treated as compromise discussions under applicable law.

14.7. Legislation

These Terms, and any Dispute arising out of or relating to them, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.

15. MISCELLANEOUS

In the event that any clause of the TERMS OF USE is found to be illegal, invalid or unenforceable, it shall be null and void without affecting the validity or enforceability of the remaining provisions.

Force Majeure: MD Likar Corporation shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, power outages, technical failures, internet disruptions, strikes, civil unrest, or governmental actions.

Assignment: You may not assign or transfer your rights or obligations under these TERMS OF USE without prior written consent from MD Likar Corporation. MD Likar Corporation may assign these Terms at its sole discretion without restriction.
